What is the opportunity?:
As Commercial Counsel - Japan (Generalist, APJ Legal), you will play a key role in supporting Omnissa’s growth across the Asia-Pacific Japan region. You will serve as a versatile in-house counsel providing legal support across three main areas:
Commercial contracting - supporting sales negotiations.
Employment and corporate governance - advising on day-to-day HR and entity matters; and
Cross-functional legal support - collaborating with global and regional teams to implement consistent, pragmatic legal solutions.
This role offers an opportunity to partner closely with business, HR, Finance, and global Legal colleagues, helping Omnissa navigate the evolving technology and regulatory landscape in Japan.
Primary responsibilities include:
Drafting, reviewing, and negotiating a broad range of commercial agreements, including SaaS licensing agreement.
Advising HR and management on employment matters in Japan (e.g., performance management, terminations, policy updates, and labor authority filings).
Supporting corporate governance and entity management, including board meetings, local registrations, and filings under Japanese company law.
Coordinating with external counsel on complex employment, corporate, or regulatory issues.
Assisting with regional initiatives across APJ involving cross-border legal questions, compliance reviews, or process improvements.
Partnering with global legal teams to ensure consistency in legal documentation and risk management approaches.
What will you bring to Omnissa?
Qualification to practice law in Japan.
5–8 years of post-qualification legal experience (including at least 2–3 years in-house or secondment experience).
Solid understanding of Japanese contract, employment, and corporate laws.
Excellent drafting and negotiation skills in Japanese and English.
Proven ability to manage competing priorities, communicate clearly with non-lawyers, and deliver practical business solutions.
Familiarity with the technology or software industry preferred.
